Terms & Conditions

Last updated: 20 October 2026

General terms for using this website and commissioning Grendigital’s digital, AI and automation services.

Who these terms apply to

These Terms & Conditions apply to the Grendigital website at gren.digital and provide general terms for our services. Grendigital is Grendesign’s specialist AI and digital division. Grendesign is a registered business name of Code Collective Pty Ltd, ABN 90 690 258 318.

Your accepted quotation, proposal, statement of work and any separate service agreement set out the details of your project. An expressly agreed project-specific term takes priority over a conflicting general term on this page.

Quotations and approval to start

Quoted prices include GST and remain valid for 30 days unless your quotation expressly states otherwise. The client must approve the quotation in writing, including by email, before work begins. Any payment required before a stage starts must also be received.

An enquiry, discovery conversation, illustrative demo or general website description does not by itself confirm a project scope, delivery date or price. The agreed proposal identifies the work to be delivered.

Project payments

Website projects are generally invoiced in three stages, with payment required before each stage begins. The stages are described in the proposal. Payment stages for applications, MVPs, integrations, AI systems, advisory work and ongoing services are set out in the relevant quotation or agreement.

Unless otherwise agreed in writing, invoices are payable within seven days of receipt. Where a project extends beyond four calendar weeks, progress invoicing may apply for work completed to date. Payment plans must be agreed in writing.

If payment terms are not met, payment upfront may be required for further work. If an overdue account is referred for collection, recovery costs are payable only to the extent provided for in the applicable agreement and permitted by law.

Scope, fees and variations

The service fee covers the work described in the accepted quotation. Additional functionality, integrations, revisions, content creation or other work outside that scope may attract additional charges. We will identify the proposed change and its fee or estimating basis for the client to approve before proceeding.

Estimates assume that the client supplies the necessary text, graphics, images, information and access in the agreed formats. Changes to requirements, specifications or available material may require a revised quotation and delivery schedule.

Additional purchases and services, such as images, hosting, domains, software subscriptions and usage charges, are included only where the proposal says so. Additional amounts due before launch are invoiced before the website or application goes live.

Client information and cooperation

The client is responsible for providing accurate instructions, authorised access, relevant materials and timely feedback and approvals. The client must have permission to supply and use any content, personal information, credentials or third-party material provided for the project.

Client approvals, access to existing systems and third-party availability can affect delivery. Where these dependencies change or information is delayed, we will discuss the impact on the scope and schedule.

AI, integrations and third-party platforms

The capabilities of an AI agent, automation or integration depend on the approved workflow, source information, platform access and third-party services. The proposal should identify the intended use, testing, approvals, human handovers and operating responsibilities.

AI-generated content and recommendations can contain errors and need appropriate human review before they are relied on or used for consequential decisions. Illustrative demonstrations on this website use sample data and do not promise a particular commercial result.

Third-party software, hosting, APIs, messaging, voice and AI services may have their own terms, licences, usage limits and recurring fees. Platform changes can affect an integration or workflow. Ongoing monitoring, maintenance and support are included only where agreed in the scope or a separate service plan.

Ownership, copyright and licences

Once the relevant invoices have been paid, the client receives the rights to the agreed final deliverables described in the quotation or agreement. The client may retain and reproduce the approved project output, subject to the agreed ownership and licence terms. Unapproved design proposals and concepts are excluded.

For software and digital products, the proposal or agreement should specify source-code ownership, editable files, account ownership, access and handover. Pre-existing tools, reusable components, open-source software and third-party assets remain subject to their applicable ownership and licence terms.

We will identify applicable third-party licences for supplied materials within the agreed scope. The client remains responsible for rights in material they supply. Please raise any required usage rights or handover requirements before work starts.

Portfolio use and confidentiality

We may showcase completed work in the Grendigital or Grendesign portfolio after the product or website has been publicly launched, subject to any agreed confidentiality restrictions. Confidential information must not be published as part of that display.

We recognise the confidential nature of client projects. Our team must not use or disclose confidential client information outside the work without prior written permission, except where disclosure is required or authorised by law. Information needed by an authorised contractor or service provider must be handled under appropriate confidentiality obligations.

Website content and acceptable use

Website articles, case studies and demonstrations provide general information about our work and possible approaches. Project suitability and deliverables need to be assessed against your circumstances and agreed in writing.

You must not misuse this website, attempt unauthorised access, interfere with its operation or upload unlawful material. Links to external websites are provided for reference; their operators are responsible for their own content and services.

Consumer rights and service concerns

Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including applicable consumer guarantees under the Australian Consumer Law.

If you have a concern about our work, contact us with the relevant project and invoice details so we can review it. Cancellation, ongoing service arrangements, support commitments and any additional liability provisions are governed by the applicable proposal or service agreement, subject to your rights under law.

Privacy and related service terms

Our Privacy Policy explains how we handle personal information collected through this website and related enquiries. A separate product or hosted service may have additional terms and its own privacy notice.

Where hosting or maintenance is supplied through Grendesign, review the Grendesign Hosting and Maintenance Terms of Use alongside the specific service agreement.
